** Intentional misstatements or omissions of facts constitute Federal Criminal Violations. See 18 U.S.C. 1001 and 15 U.S.C. 78ff(a).
(1) The shares of common stock were acquired upon the conversion of a senior secured convertible promissory note in the principal amount of $100,000 issued on November 21, 2012 to Series E-1 of Larrem Smitty, LLC, of which Mr. Baum is the beneficial owner.
(2) The securities are owned by Series E-1 of Larrem Smitty, LLC. The reporting person has voting and investment control over the securities.
(3) The senior secured convertible promissory note was required to be converted into shares of the Company's common stock if, prior to the maturity date (January 6, 2014), the Company raised at least $10 million in an initial public offering of its common stock. The Company completed its initial public offering on November 27, 2013 and raised gross proceeds in excess of $10 million. Upon the completion of the Company's initial public offering the senior secured convertible promissory note, including all accrued interest, was paid with shares of the Company's common stock at the price of $3.48 per share.
(4) The reporting person continues to hold a warrant for the purchase of shares of the Company's common stock.
